Welcome to SkillBid. These Terms & Conditions (“Terms”) govern your access to and use of the SkillBid website, mobile interfaces, tools, services, and related features (collectively, the “Platform”). SkillBid is a digital marketplace that enables clients and independent freelancers to connect, negotiate, contract, communicate, manage tasks, submit work, and complete projects in a structured online environment.
By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms, together with our Privacy Policy and Refund Policy. If you do not agree with these Terms, you must not use the Platform.
1. Eligibility and Legal Capacity
You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, and legally capable of entering into binding agreements in order to use SkillBid. By using the Platform, you represent and warrant that you satisfy these requirements and that all information you provide is true, complete, and current.
2. Nature of the Platform
SkillBid is a technology platform and marketplace. We provide tools and infrastructure that enable users to discover opportunities, publish tasks, submit bids or proposals, communicate, create contracts, track milestones, exchange files, and manage work relationships. SkillBid does not employ freelancers, guarantee the quality, legality, safety, timing, or outcome of services, and does not become a party to the direct agreement between a client and a freelancer except where Platform rules expressly apply to payment workflows, account security, compliance procedures, or dispute handling.
Freelancers using SkillBid act as independent contractors and not as employees, agents, partners, or representatives of SkillBid. Clients are solely responsible for selecting suitable service providers and assessing whether a freelancer’s skills, experience, and deliverables meet their business or project needs.
3. Account Registration and Security
To access certain features, you may be required to create an account. You agree to provide accurate, complete, and updated registration information and to keep your credentials confidential. You are responsible for all activities occurring under your account, whether or not authorized by you.
You must notify us immediately if you suspect unauthorized use of your account, compromised login details, suspicious transactions, or any security incident affecting your access to the Platform. Notifications should be sent to support@myskillbid.com.
4. Client-Freelancer Contracts
SkillBid may provide contract creation, acceptance, project tracking, milestone management, submission panels, revision handling, and related workflow tools. Contracts formed through the Platform are binding between the client and the freelancer in accordance with the agreed scope, budget, timeline, milestones, revisions, and any clearly documented deliverables.
Both parties are responsible for reviewing contract details carefully before proceeding. SkillBid is not responsible for misunderstandings arising from vague instructions, incomplete briefs, unrealistic expectations, or off-platform side agreements not reflected in Platform records.
5. Payments, Platform Charges, and Processing
The Platform may integrate with third-party payment providers and related financial service partners to support payment processing, funding actions, payouts, receipts, reconciliation, fraud review, and transaction verification. SkillBid may display service charges, transaction fees, currency conversion costs, withdrawal limits, or other applicable platform fees before a user proceeds with a transaction.
By using payment features, you authorize SkillBid and its payment partners to process the relevant charges and to carry out reasonable verification, anti-fraud, compliance, anti-abuse, and identity checks where necessary. SkillBid reserves the right to delay, review, limit, reject, reverse, or hold transactions where there is suspected fraud, abuse, unauthorized use, legal risk, policy violation, provider failure, or compliance concern.
Where applicable, transaction handling, approval flows, dispute review, and refund treatment may also be governed by our Refund Policy.
6. User Responsibilities
You agree that you will:
- use the Platform lawfully, honestly, and in good faith;
- provide accurate identity, profile, and payment information;
- communicate respectfully and professionally with other users;
- honor agreed project scope, timelines, payment obligations, and deliverables;
- keep records, evidence, and relevant communications within the Platform where possible;
- comply with all applicable tax, employment, licensing, and regulatory obligations in your jurisdiction.
7. Prohibited Activities
Users must not engage in conduct that undermines the integrity, safety, or lawful use of SkillBid. Prohibited conduct includes, without limitation:
- fraud, deception, impersonation, identity misrepresentation, or document falsification;
- money laundering, illegal financial activity, or attempts to evade verification or compliance checks;
- harassment, abusive conduct, threats, hate speech, extortion, or intimidation;
- uploading malicious code, viruses, spyware, or engaging in phishing or unauthorized access attempts;
- bypassing Platform rules, fees, or transaction controls in violation of SkillBid policies;
- misrepresenting skills, qualifications, ownership of work, licenses, or ability to deliver services;
- using the Platform for unlawful, misleading, exploitative, or harmful purposes.
SkillBid may suspend, restrict, or permanently terminate access to any user engaged in prohibited conduct.
8. Disputes, Evidence, and Platform Review
In the event of a disagreement, users should first attempt to resolve the issue directly and professionally through the communication tools provided. Where direct resolution fails, SkillBid may allow a dispute process in which parties may be asked to submit evidence including messages, files, revisions, timeline history, payment references, screenshots, milestone records, and other relevant materials.
SkillBid may review the available Platform records and submitted evidence and may make a decision for Platform purposes, including maintaining the status quo, facilitating further review, approving a release outcome, approving a refund outcome, or taking another action permitted by Platform policy. Users agree to cooperate honestly during the dispute review process.
9. Intellectual Property and User Content
Users retain ownership of the materials, content, files, documents, text, graphics, and other content they lawfully upload or submit to the Platform, subject to any contract terms between the client and freelancer. By submitting content to SkillBid, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, display, reproduce, store, transmit, and process that content solely as necessary to operate, maintain, secure, improve, moderate, investigate, and legally comply in relation to the Platform.
You represent and warrant that you have the right to upload and use any content you submit and that such content does not infringe any third-party intellectual property, confidentiality, privacy, or proprietary rights.
10. Suspension and Termination
SkillBid may suspend, restrict, or terminate accounts or access to some or all features of the Platform where we reasonably believe that a user has violated these Terms, created legal or financial risk, engaged in fraud or abuse, failed required verification, breached payment provider requirements, or used the Platform in a way that threatens users, systems, operations, or compliance obligations.
You may request account closure subject to any open disputes, active contracts, compliance obligations, recordkeeping requirements, outstanding balances, or legal restrictions. Requests may be made through support@myskillbid.com or by following our Account Deletion process where available.
11. Disclaimers
The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, SkillBid disclaims all warranties, representations, and guarantees, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted service, error-free operation, or guaranteed project outcomes.
SkillBid does not guarantee that any freelancer will obtain work, that any client will find a suitable freelancer, that any project will be completed successfully, or that the Platform will be free from delays, outages, technical disruptions, or provider interruptions.
12. Limitation of Liability
To the maximum extent permitted by applicable law, SkillBid shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or loss-based damages, including loss of profits, loss of revenue, loss of opportunity, business interruption, reputational harm, data loss, or procurement of substitute services, even if advised of the possibility of such damages.
Where liability cannot lawfully be excluded, SkillBid’s aggregate liability to you for claims arising out of or relating to the Platform shall be limited to the total amount of fees actually received by SkillBid from you in the twelve (12) months immediately preceding the event giving rise to the claim.
13. Privacy and Data Handling
Your use of SkillBid is also subject to our Privacy Policy, which explains how we collect, use, store, protect, and disclose personal information in connection with the Platform.
14. Changes to These Terms
SkillBid may revise or update these Terms from time to time to reflect changes in the law, platform features, operational requirements, security practices, payment systems, or business structure. Updated Terms become effective when posted on the Platform unless stated otherwise. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those changes.
